Terms and conditions for using TallyFox.

IMPORTANT: PLEASE READ CAREFULLY

TallyFox is a receipt organization tool — not a tax advisor. We do not provide tax, legal, accounting, or financial advice and we have no fiduciary duty to you.

All outputs are informational estimates only. You must independently verify all information and consult a licensed tax professional before filing any tax return.

By using TallyFox, you accept full responsibility for your financial decisions and tax filings.

  • You must be 18 years or older and located in the United States
  • All disputes are subject to binding arbitration
  • The service is provided “as is”
  • Liability is limited as described below

Acceptance & Eligibility

By accessing or using TallyFox, you agree to these Terms of Service. You must be at least 18 years old and reside in the United States.

We may update these Terms at any time. Continued use of the service constitutes acceptance of any modifications.

No Advice / No Professional Relationship

TallyFox provides organizational tools and informational estimates only.

We are not your tax advisor, accountant, or financial professional. We are not responsible for determining deductible expenses, preparing tax filings, or ensuring IRS compliance.

No professional, advisory, or fiduciary relationship is created by your use of the service. You are solely responsible for verifying information, maintaining records, consulting qualified professionals, and complying with all laws.

User Conduct

You agree not to use the service unlawfully, fraudulently, or abusively. This includes attempting to interfere with the service, uploading malicious content, impersonating others, providing false information, or using automated scraping tools without permission.

Accounts & Termination

We may suspend or terminate your account at any time for violations of these Terms, fraud, abuse, illegal activity, non-payment, or any reason we deem necessary.

Upon termination, you have 30 days to export your data. After that period, we may permanently delete your information. Fees are non-refundable.

You may delete your account at any time through your account settings. The same 30-day export period applies.

Payments & Refunds

Fees are billed in advance and are non-refundable. Subscriptions automatically renew until canceled.

Cancellation takes effect at the end of the current billing period.

We may modify pricing with at least 30 days notice. Continued use after a price change constitutes acceptance.

Indemnification

You agree to defend, indemnify, and hold harmless TallyFox, its parent company, affiliates, members, managers, officers, employees, contractors, and agents from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising from:

  • Your use of the service
  • Your tax filings or financial decisions
  • Your uploaded content
  • Your violation of these Terms or applicable law

No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not guarantee accuracy, tax savings, uninterrupted service, error-free operation, or that the service will meet your expectations.

Use the service at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLYFOX AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TAX PENALTIES, AUDITS, FINES, LOST PROFITS, OR DATA LOSS.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS, OR (B) $100.

No claim may be brought personally against any owner, member, manager, officer, or employee of TallyFox.

Binding Arbitration & Class Waiver

Any dispute arising out of or relating to these Terms or the service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

You waive the right to a lawsuit, jury trial, or participation in any class action. All disputes must be brought individually.

Arbitration shall occur in Texas unless otherwise required by law. You may opt out within 30 days of first use by emailing support@tallyfox.ai.

Governing Law

These Terms are governed by the laws of the State of Texas. Any court proceedings not subject to arbitration must be filed in Travis County, Texas.

Force Majeure

We are not liable for any delay or failure to perform resulting from events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, cyber attacks, utility failures, or government actions.

General Provisions

If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a right does not waive it. These Terms and our Privacy Policy constitute the entire agreement.
